Your rental agreement

1. Parties

This Vehicle Rental Agreement ("Agreement") is made on September 5, 2026 between Cross Country Transpo, a Texas limited liability company, of Houston, Texas ("Cross Country Transpo," "we," "us"), and Victor Ames ("Renter," "you"), of ____________.

2. Vehicle

Cross Country Transpo rents to Renter, and Renter rents from Cross Country Transpo, the following vehicle (the "Vehicle"):

This is a rental. Renter acquires no ownership interest in the Vehicle. Title remains with Cross Country Transpo at all times. This Agreement is not a lease-to-own, a sale, or a financing agreement, and no portion of any payment builds equity.

Condition at delivery is recorded on the Vehicle Condition Report (Exhibit A), completed and photographed by both parties before the keys change hands. Damage not noted on Exhibit A is presumed to have occurred during the rental.

3. Term

The term begins on September 5, 2026 and runs week to week, each rental week beginning Monday at 12:00 a.m. Central and ending the following week on the same day and hour. It renews automatically each week unless either party gives 48 hours written notice, or unless it is terminated under Section 16.

4. Rental fee

Renter pays a weekly rental fee equal to the GREATER of (i) 60% of Renter's gross rideshare earnings for that rental week, or (ii) a weekly minimum of $500.00. The fee is due each Monday.

"Gross rideshare earnings" means all amounts credited to Renter's Uber driver account for trips completed during the rental week, EXCLUDING tips, before any deduction. Tips belong to Renter. Renter will provide the weekly Uber earnings statement on request within 24 hours, and authorizes Cross Country Transpo to view it for the sole purpose of computing the fee.

This structure is fixed for the term of this Agreement. It may not be changed week to week, and may be changed only by a written amendment signed by both parties.

The rental fee is the price of renting the Vehicle. It is NOT wages, not a commission, and not a share of a joint venture, and it is not compensation for any service Renter performs. Cross Country Transpo is not a party to any agreement between Renter and Uber.

Late payment. A fee of $50.00 applies to any amount more than 24 hours past due, and Cross Country Transpo may exercise its remedies under Section 16.

5. Insurance charge

$10.00 per day, charged for every day the Vehicle is assigned to Renter, UNLESS Renter qualifies under Section 6.2 as carrying their own verified coverage. This charge is in addition to the rental fee in Section 4.

Coverage is evaluated per day. If Renter's own policy lapses, cancels, or expires, the $10.00 per day charge resumes automatically on the first uncovered day, with no further notice, and continues until new proof of coverage is verified.

6. Insurance

6.1 Cross Country Transpo coverage (the default)

If Renter has not qualified under Section 6.2, the Vehicle is covered under Cross Country Transpo's commercial policy while Renter operates it in accordance with this Agreement. Renter remains responsible for the deductible in Section 13 on each claim, and for any loss the policy excludes — including loss caused by Renter's violation of Section 7, 8, or 9.

6.2 Renter's own coverage (waives the $10.00 per day)

The daily charge is waived only while ALL of the following are true:

1. Renter maintains liability limits of at least $30,000 / $60,000 / $25,000, plus comprehensive and collision coverage;
2. The policy expressly covers commercial rideshare / transportation network company use. A standard Texas personal auto policy excludes livery use and is NOT acceptable. Renter must produce a rideshare endorsement or a commercial policy;
3. Cross Country Transpo is named as an additional insured and loss payee on the policy for the Vehicle;
4. The insurer is required to give Cross Country Transpo at least 30 days written notice before cancellation or non-renewal;
5. Renter has delivered a current declarations page and insurance card to Cross Country Transpo, and Cross Country Transpo has verified it and recorded the expiration date; and
6. The policy has not lapsed, been cancelled, or expired.

Renter must notify Cross Country Transpo within 24 hours of any lapse, cancellation, non-renewal, or material change to the policy.

6.3 Operating without coverage

If Renter operates the Vehicle at any time when neither Section 6.1 nor Section 6.2 coverage is in force, RENTER IS PERSONALLY AND FULLY LIABLE for all damage, loss, injury, claim, judgment, defense cost, and diminished value arising out of that operation, without limit and without regard to fault. This is a material breach and grounds for immediate termination and recovery of the Vehicle.

6.4 Rideshare coverage periods

Renter acknowledges that Uber's insurance applies only during defined periods, and that Period 1 — app on, no trip accepted — is covered at reduced limits or not at all under many policies. Renter is responsible for understanding that gap.

7. Permitted use

The Vehicle may be used ONLY for:

1. Rideshare driving on the Uber platform, under Renter's own active driver account in good standing; and
2. Reasonable personal use incidental to that driving, not to exceed 100 miles per week.

The Vehicle may NOT be used for any other transportation network company, delivery platform, courier service, or for-hire work without Cross Country Transpo's prior written approval.

Operating area. The Vehicle may be operated only within 150 miles of downtown Houston, Texas. Operation outside that area requires prior written approval. Section 10 describes how this limit is enforced.

Mileage. 1500 miles per week are included. Excess miles are billed at $0.25 per mile.

8. Authorized driver

RENTER IS THE ONLY PERSON PERMITTED TO OPERATE THE VEHICLE. No spouse, family member, friend, co-driver, or substitute may operate it, for any reason, without Cross Country Transpo's prior written approval and addition to this Agreement.

Renter may not sublease, re-rent, assign, loan, or give any other person possession of the Vehicle. Doing so voids all coverage under Section 6.1, is a material breach, and makes Renter personally liable for all resulting loss.

Renter must at all times hold a valid Texas driver license and meet Uber's driver requirements.

9. Prohibited uses

Renter will not, and will not permit anyone to:

1. Operate the Vehicle while under the influence of alcohol, marijuana, or any controlled or impairing substance;
2. Use the Vehicle in the commission of any crime, or to transport any illegal substance, weapon, or contraband;
3. Transport hazardous materials, or more passengers than there are seatbelts;
4. Race, off-road, tow, push, or overload the Vehicle;
5. Smoke or vape in the Vehicle, or allow a passenger to;
6. Transport animals other than a passenger's service animal as required by law;
7. Operate the Vehicle outside the United States;
8. Modify, repair, repaint, wrap, or alter the Vehicle, or remove, disable, obstruct, or tamper with any equipment described in Section 10;
9. Operate the Vehicle with a suspended, expired, or invalid license, or while deactivated by Uber; or
10. Allow the Vehicle to be operated in violation of Section 7 or Section 8.

Violation of this Section is a material breach and voids Cross Country Transpo's coverage as to that use.

10. GPS tracking and starter interrupt — disclosure and consent

The Vehicle is equipped with (i) a GPS tracking device that continuously records its location, and (ii) a starter interrupt device that can prevent the Vehicle from being started remotely.

What can trigger the starter interrupt

Cross Country Transpo may disable the starter ONLY when:

• the rental fee or insurance charge is more than 3 days past due, after the notice below;
• the Vehicle is operated outside the area in Section 7, after the notice below;
• this Agreement has been terminated and the Vehicle has not been returned; or
• the Vehicle is reported stolen, or is being operated by an unauthorized person.

Safety limits

Cross Country Transpo will NEVER disable a Vehicle while it is in motion. The starter interrupt prevents a future start; it does not stop a running engine. Before any disable, Cross Country Transpo will give Renter at least 24 hours advance written notice by text and email, except where the Vehicle is reported stolen. The device provides Renter 2 emergency start(s) after a disable.

Consent

By initialing Exhibit B, Renter acknowledges the presence and function of both devices, consents to continuous location tracking for the term of the rental, and consents to the starter interrupt on the terms above.

Renter will not disable, remove, obstruct, shield, or tamper with either device. Doing so is a material breach, and Cross Country Transpo may recover the Vehicle immediately.

11. Maintenance

Cross Country Transpo is responsible for scheduled maintenance, mechanical repair not caused by Renter's misuse, and keeping the Vehicle safe, registered, and inspected.

Renter is responsible for checking fluids and tire pressure weekly; presenting the Vehicle for scheduled service within 3 days of being asked; keeping the Vehicle reasonably clean; and reporting any warning light, noise, leak, or drivability problem within 24 hours.

Renter is responsible for the full cost of any repair caused by Renter's neglect, misuse, or failure to report — including engine or transmission damage from continuing to drive on a warning light.

Renter may not authorize any repair over $100.00 without Cross Country Transpo's prior written approval. Unauthorized repairs are not reimbursed.

12. Fuel, tolls, tickets, and impound

• Fuel is Renter's responsibility. The Vehicle is returned at the fuel level on Exhibit A, or Renter is charged $7.00 per gallon plus a $25.00 service fee.
• Tolls are Renter's responsibility. Tolls billed to Cross Country Transpo are passed through plus a $5.00 administrative fee each.
• Tickets, citations, camera notices, and parking violations incurred during the rental are Renter's responsibility, plus a $35.00 administrative fee each for processing. Cross Country Transpo may identify Renter to the issuing authority.
• Impound and towing caused by Renter's act, omission, or violation is Renter's responsibility, including all storage and release fees. Cross Country Transpo may recover the Vehicle from impound and bill Renter for the full cost.

13. Damage, loss, and accidents

Reporting

Renter must report any accident, collision, theft, vandalism, break-in, or damage to Cross Country Transpo WITHIN 2 HOURS, and file a police report within 24 hours. Renter must not admit fault, must obtain the other party's name, license, plate, and insurance information, and must photograph the scene.

Deductible

For each claim covered under Section 6.1, Renter pays the first $1,000.00. Cross Country Transpo may deduct it from the security deposit or bill it.

Loss of use

If the Vehicle is out of service because of damage Renter is responsible for, Renter owes $50.00 per day for each day it is out of service, up to 30 days.

Total loss or theft

If the Vehicle is totaled or not recovered and the loss is not covered, Renter owes the actual cash value of the Vehicle as of the date of loss, less any insurance proceeds actually received.

Personal property

Cross Country Transpo is not responsible for any property left in the Vehicle, by Renter or by a passenger.

14. Security deposit

Renter pays a refundable security deposit of $500.00 before taking possession. Cross Country Transpo may apply it to unpaid fees, deductibles, damage, tolls, citations, fuel, cleaning, or recovery costs.

The unused balance is returned within 14 days after the Vehicle is returned and inspected, with a written itemization of anything withheld.

15. Cleaning and return condition

The Vehicle is returned in the condition recorded on Exhibit A, ordinary wear excepted, with all keys, the same fuel level, and no personal property left inside.

Cleaning charges: interior detail $150.00; smoke or odor remediation $250.00; biohazard $400.00.

16. Default, termination, and recovery

Default

Renter is in default if Renter fails to pay any amount when due; violates Section 6, 7, 8, 9, or 10; fails to report an accident under Section 13; loses their license or Uber account; gave false information on their application; or fails to return the Vehicle on termination.

Remedies

On default Cross Country Transpo may, without further notice except where this Agreement requires it: terminate this Agreement; disable the starter under Section 10; take immediate possession of the Vehicle wherever found; apply the security deposit; and pursue all amounts owed.

Recovery

Renter consents to Cross Country Transpo entering any premises where the Vehicle is located to recover it, without breach of the peace, and waives any claim of trespass or conversion arising from a lawful recovery. Personal property in the Vehicle at recovery is held 30 days for Renter to claim.

Ending it voluntarily

Either party may end this Agreement on 48 hours written notice. Renter returns the Vehicle to Houston, Texas during business hours with all keys. Fees accrue until the Vehicle is actually returned.

Abandonment

A Vehicle not returned within 48 hours after termination is deemed unlawfully retained and will be reported to law enforcement.

17. Relationship of the parties

Renter is an independent contractor of Uber, or self-employed, and is NOT an employee, agent, partner, joint venturer, or servant of Cross Country Transpo for any purpose.

Cross Country Transpo does not set Renter's hours, does not assign Renter's trips, does not direct how Renter performs driving services, does not require Renter to accept any trip, and does not supervise Renter's work. RENTER DECIDES WHEN, WHERE, AND WHETHER TO DRIVE. Nothing in this Agreement is a schedule or a shift.

Renter is responsible for their own taxes, and Cross Country Transpo withholds nothing.

Renter's obligations under this Agreement are the obligations of a renter of property, not the duties of employment.

18. Uber account

Renter must maintain an active Uber driver account in good standing throughout the term. DEACTIVATION BY UBER DOES NOT SUSPEND, REDUCE, OR EXCUSE THE RENTAL FEE OR THE INSURANCE CHARGE. If Renter is deactivated, Renter must notify Cross Country Transpo within 24 hours; either party may then terminate under Section 16, and fees accrue until the Vehicle is returned.

19. Renter's representations

Renter represents that they are at least 25 years old; hold a valid Texas driver license; that the information on their application is true and complete; that they have no undisclosed license suspension, DUI, or reckless driving conviction; and that they have reviewed the Vehicle Condition Report and agree it is accurate.

Cross Country Transpo may run a motor vehicle record check and a background check at signing and at any time during the term, and Renter consents to it.

20. Indemnity

Renter will indemnify, defend, and hold harmless Cross Country Transpo from any claim, loss, damage, fine, penalty, judgment, or expense (including attorney fees) arising out of Renter's use of the Vehicle, Renter's breach of this Agreement, or any act or omission of Renter or any passenger — EXCEPT to the extent caused by Cross Country Transpo's own negligence, or by a defect Cross Country Transpo knew of and failed to repair.

21. Disclaimer

Except for Cross Country Transpo's obligation under Section 11 to deliver a Vehicle in safe operating condition, the Vehicle is rented AS IS, and Cross Country Transpo makes no warranty of merchantability or fitness for a particular purpose. This does not limit any right Renter has under Texas law that cannot be waived.

22. Notices

Written notice is effective when sent to the email address and mobile number Renter gave in Section 1, or to Cross Country Transpo at crosscountrytranspo@gmail.com. Renter must keep their contact information current.

23. General

Governing law. Texas law governs this Agreement.

Dispute resolution. Venue for any dispute is Harris County, Texas, and each party submits to the jurisdiction of those courts.

Entire agreement. This Agreement, with Exhibits A and B, is the entire agreement between the parties and supersedes all prior discussions. It may be amended only in a writing signed by both parties.

Severability. If any provision is unenforceable, the rest stays in force.

No waiver. Cross Country Transpo's failure to enforce a provision on one occasion is not a waiver of it.

Assignment. Renter may not assign this Agreement. Cross Country Transpo may.

Electronic signature. The parties agree this Agreement may be signed electronically, and that an electronic signature has the same effect as an ink signature under the Texas Uniform Electronic Transactions Act.
